1. Acceptance of Terms

By downloading, installing, or using the TranslateGPT iOS application (the "App"), you agree to be bound by these Terms & Conditions (the "Terms"). If you do not accept these Terms, you must not access or use the App.

2. The TranslateGPT Service

TranslateGPT is an AI-powered translation tool operated by Shapeshifter Studios ("we", "us"). The App delivers voice and text translation by connecting from your device to OpenAI services using a Bring Your Own Key ("BYOK") model. To use the App you need:

  • A compatible iOS device running iOS 16.0 or later.
  • Reliable internet connectivity.
  • A valid OpenAI API key that you manage.
  • An active subscription purchased through the Apple App Store.

3. Subscription Plans & Billing

3.1 Available Plans

  • Monthly: $1.99 USD per month.
  • Annual: $19.99 USD per year (billed annually).

3.2 Free Trial

  • Both plans include a 7-day free trial with full feature access.
  • The selected plan begins automatically at the end of the trial unless you cancel at least 24 hours before the trial expires.
  • You may cancel at any time during the trial to avoid charges.

3.3 Apple App Store Billing

  • All billing, renewals, and cancellations are managed through your Apple ID.
  • Subscriptions renew automatically on the monthly or annual cadence selected until cancelled in Settings > Apple ID > Subscriptions.
  • Refunds, if any, are processed under Apple’s App Store policies. We do not issue refunds directly.

3.4 OpenAI Usage Costs

Your OpenAI usage is billed directly by OpenAI. We do not mark up, resell, or charge additional fees on top of OpenAI’s rates.

4. OpenAI API Key Responsibilities

The App depends on the API key you provide. You agree to:

  • Maintain an OpenAI account in good standing and comply with OpenAI terms and policies.
  • Secure your API key. Any actions performed with your key are your responsibility.
  • Monitor and manage your usage and spending through OpenAI’s dashboard.
  • Promptly update or revoke the key if you suspect compromise.

5. Permitted Use

You agree to use the App in accordance with applicable law and these Terms. You must not:

  • Attempt to access, copy, or modify the App’s source code.
  • Misuse OpenAI services, including generating prohibited or harmful content.
  • Infringe intellectual property or privacy rights of others.
  • Interfere with the operation of the App or OpenAI services.

6. Service Availability

  • Access to the App depends on internet connectivity and OpenAI API availability.
  • Maintenance, updates, outages, or changes to OpenAI services may impact performance.

7. Intellectual Property

7.1 Ownership

The App, its design, graphics, and software are owned by or licensed to Shapeshifter Studios and are protected by intellectual property laws.

7.2 User Content

You retain rights in any translation content generated using your OpenAI account. We do not claim ownership of that content.

8. Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we handle data within the BYOK model.

9. Disclaimers

9.1 Translation Quality

  • AI-generated translations may include inaccuracies or inappropriate output.
  • The App is not a substitute for certified translation in medical, legal, or other regulated settings.
  • You remain responsible for reviewing all translations before acting on them.

9.2 Third-Party Services

  • The App relies on OpenAI APIs and Apple services. Their availability or pricing may change without notice.
  • We are not responsible for OpenAI outages, rate limits, billing issues, or policy changes.

10. Limitation of Liability

To the maximum extent permitted by law, Shapeshifter Studios is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the App or OpenAI services.

11. Termination

11.1 By You

  • Cancel your subscription at any time through Apple’s subscription settings; access continues until the end of the paid period.
  • Delete the App to remove stored data on your device.

11.2 By Us

We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent or unlawful activity, or misuse the App or OpenAI services. Upon termination you must cease use of the App.

12. Changes to These Terms

We may update these Terms to reflect product, legal, or regulatory changes. Updated Terms will be posted within the App and on this site and will become effective when posted. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Shapeshifter Studios is organized, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the courts located in that jurisdiction.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms constitute the entire agreement between you and Shapeshifter Studios regarding TranslateGPT and supersede any prior understandings. They incorporate the Privacy Policy and any additional policies referenced within.
